Executive Summary

The Wine Country Viticulture & Enology Acquisition Fund (WCVEAF, the “Fund”) is specifically structured and administered to invest exclusively in small to medium-sized assets and/or companies associated with the Wine Industry (both vineyard [viticulture] and winery [enology]) who are adversely affected by current economic conditions.

Historically the Wine Industry has been insulated from economic downturns.  However, this downturn has coupled with numerous additional factors that will change the face of the Wine Industry forever.  The industry has reached a tipping point where the weight of the economy and these new pressures affecting it will result in the failure of many businesses.      

The Fund is seeking investment capital of $30 million to $150 million to rapidly implement a “put together” strategy to conduct the simultaneous merger of a group of companies in compatible segments of the consolidating wine market.

The Fund will focus on the super premium, ultra-premium and luxury segments of the Wine Industry.  The Fund will focus its investment efforts in the Wine Country (both Napa and Sonoma Counties), where funding is immediately required for expansion, acquisition, buyout or other purposes, including recapitalization.

The Fund Managers developed a strategy represented by the four cornerstones of the Fund including: (1) significant valuation, management and turnaround expertise, (2) a unique appellation valuation methodology amplifying investment returns, (3) a laser-like focus on direct marketing as well as (4) a unique advisory board comprised of eminent winemakers to facilitate and augment the intermediate and long-term strategies of management consolidation, winemaking optimization as well as direct marketing.

As part of a strategy to spread awareness of the Fund Managers’ expertise as well as to rapidly expand contacts, the Fund Manger began an initiative (http://uncorkedfinance.com) to educate the Wine Country regarding the economic crisis and how it will affect the Wine Industry.  In addition, the Fund Manager has posted the business plan (http://winecountryfund.wordpress.com/) for marketing purposes and to facilitate an interactive discussion regarding strategy, funding, implementation as well as operation.
